Terms and Conditions

These Terms and Conditions (“Agreement”) govern the delivery and use of academic tutoring services provided by Xavier Ellsworth Tutoring Services (“Company,” “we,” “us,” or “our”). By scheduling or receiving services, the client (“Client,” “Parent/Guardian,” or “Student”) agrees to comply with the terms outlined below.
1. Services Provided
Xavier Ellsworth Tutoring Services offers personalized academic instruction across a range of subjects. Sessions are available in person or virtually, as mutually agreed upon. Each session is customized to support the individual learning needs and goals of the student.
2. Scheduling and Cancellations

Appointments are subject to availability and confirmed upon successful booking.Cancellations:
Clients must provide a minimum of 24 hours’ notice to cancel or reschedule a session. Cancellations with less than 24 hours’ notice will incur a cancellation fee equal to 50% of the scheduled session rate.No-Shows:
Failure to attend a scheduled session without prior notice will result in a charge for the full session fee.
3. Lateness Policy
Late Arrivals:
Sessions will conclude at the originally scheduled end time, regardless of a student’s late arrival. The full session fee remains applicable.Excessive Lateness:
If a student arrives more than 15 minutes late without advance notice, the session may be canceled at the Company’s discretion, and the full fee will be charged.Notification:
Clients are encouraged to communicate any delays promptly. While session length cannot be extended, early notice allows for potential instructional adjustments.
4. Payment Terms
Payment is due at the time of service unless alternative arrangements have been made in writing.
Accepted payment methods include:
• Cash
• Check
• ZellePayments not received within seven (7) days of the session date will incur a $15 late fee.
An invoice will be emailed to the Client as a receipt for recordkeeping once payment has been received.
5. Former Student Discount
All former students who have previously been taught in a classroom setting by any tutor affiliated with Xavier Ellsworth Tutoring Services are eligible to receive a 50% discount on our standard session rate. This discount must be verified and confirmed at the time of booking.
6. Session Conduct
Students are expected to arrive prepared with all relevant materials, including assignments, notebooks, and supplies. If a student is disruptive or unwilling to participate meaningfully in the session, the Company reserves the right to end the session early. In such cases, no refund or credit will be issued.
7. Parental Involvement
For clients under the age of 18, a parent or legal guardian must authorize participation in tutoring services. In some cases—particularly during initial sessions—a parent or guardian may be required to be present during in-home or virtual sessions.
8. Academic Outcomes
Xavier Ellsworth Tutoring Services is committed to fostering academic improvement. However, we do not guarantee specific results, grades, or outcomes. Student progress depends on multiple factors including engagement, consistency, and external academic circumstances.
9. Confidentiality
All information shared during tutoring sessions is considered confidential and used exclusively for educational purposes. No information will be shared with third parties without the Client’s written consent, unless required by law.
10. Limitation of Liability
The Company is not liable for any direct, indirect, incidental, or consequential damages that may result from the use or inability to use our tutoring services, including academic performance or loss of data.
11. Modifications to Terms
Xavier Ellsworth Tutoring Services reserves the right to amend these Terms and Conditions at any time. Clients will be notified of any material changes. Continued use of services following such updates constitutes acceptance of the revised terms.
12. Termination of Services
The Company reserves the right to suspend or terminate services at its sole discretion. Clients may also discontinue services at any time, provided that they comply with the notice and cancellation policies outlined in this Agreement.
13. Dispute Resolution
In the event of a dispute, both parties agree to make a good-faith effort to resolve the issue through informal negotiation. If resolution cannot be achieved, the matter shall be submitted to binding arbitration in accordance with the rules of a mutually agreed-upon arbitration body. The decision of the arbitrator shall be final and binding.
14. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the State of New York, without regard to its conflict of law principles.
