The following Terms and Conditions govern all services provided by Xavier Ellsworth Tutoring Services. Participation in our services constitutes acceptance of these terms.

Academic Services

Xavier Ellsworth Tutoring Services provides personalized one-on-one academic instruction for students in Kindergarten through Sixth Grade. Instruction is thoughtfully tailored to each student's individual learning style, academic needs, and educational goals.

Services may be provided in person or virtually, subject to availability, and are proudly offered throughout New York, Washington, DC, Maryland, Virginia, and online nationwide.

Website Use

By accessing this website, users agree to use it only for lawful purposes.

Users shall not:

• Attempt to gain unauthorized access to the website or its systems.

• Interfere with website functionality or security.

• Upload malicious software or harmful code.

• Copy, reproduce, scrape, or distribute website content without prior written permission.

Xavier Ellsworth Tutoring Services reserves the right to restrict or terminate access for any misuse of the website.

Scheduling

A 10% reservation deposit is required to secure an instructional session. The deposit is applied toward the total session balance.

Appointments are confirmed only after they have been successfully booked through the official scheduling platform and remain subject to instructor availability.

Client Account Responsibility

Clients are responsible for maintaining the confidentiality of any login credentials associated with scheduling platforms, client portals, or online accounts.

Xavier Ellsworth Tutoring Services is not responsible for unauthorized access resulting from a client's failure to safeguard account information.

Cancellations & No-Shows

A minimum of 24 hours' notice is required to cancel or reschedule a tutoring session.

Cancellations made with less than 24 hours' notice will incur a cancellation fee equal to 50% of the scheduled session rate.

Failure to attend a scheduled session without prior notice will result in the full session fee being charged.

Lateness

Tutoring sessions conclude at their originally scheduled end time regardless of a student's arrival time.

Students arriving more than 15 minutes late without prior communication may forfeit the session and be charged the full session fee.

Families are encouraged to communicate delays as soon as possible.

Payment

Payment is due upon completion of each instructional session unless alternative arrangements have been approved in writing.

Accepted payment methods include:

  • Zelle

  • Check

  • Credit or Debit Card (processed securely through Square)

Cash payments are not accepted.

Outstanding balances must be paid before additional tutoring services may be scheduled.

Academic Programs & Memberships

Enrollment in academic programs or membership services is governed by the payment terms established at enrollment.

Payment plans, when offered, must remain current throughout the duration of the program.

Academic programs and memberships become non-refundable once the first tutoring session has been scheduled.

Failure to maintain an agreed payment schedule may result in the temporary suspension or discontinuation of services until the account has been brought current.

Discounts

Former Student, Sibling, and Family Recognition discounts may be available for qualifying families.

All promotional pricing is subject to eligibility verification and may not be combined unless otherwise stated.

Xavier Ellsworth Tutoring Services reserves the right to modify or discontinue promotional offers at any time.

Virtual Tutoring

Clients are responsible for providing a reliable internet connection, an appropriate device equipped with a camera and microphone, and a quiet, distraction-free learning environment.

Technical difficulties occurring on the client's equipment or internet connection do not automatically qualify for refunds, credits, or session extensions.

Force Majeure

Xavier Ellsworth Tutoring Services shall not be liable for delays, interruptions, or the inability to provide services resulting from events beyond reasonable control, including but not limited to severe weather, power outages, internet service disruptions, natural disasters, governmental actions, public health emergencies, transportation interruptions, or other unforeseen circumstances.

Every reasonable effort will be made to reschedule affected tutoring sessions.

In-Home Tutoring

For students under the age of eighteen, a responsible adult must remain on the premises throughout the tutoring session unless otherwise agreed upon in writing.

Tutoring services may be suspended or discontinued if the instructional environment is determined to be unsafe or unsuitable.

Student Expectations

Students are expected to arrive prepared with the appropriate instructional materials and to participate respectfully throughout each session.

Xavier Ellsworth Tutoring Services reserves the right to conclude a session if student behavior significantly interferes with instruction or creates an unproductive learning environment.

Parent Responsibilities

Parents and legal guardians are expected to support regular attendance, maintain open communication, and encourage consistent student participation.

For virtual and in-home sessions, a parent or guardian should remain reasonably accessible during the instructional period.

Academic Disclaimer

Xavier Ellsworth Tutoring Services is committed to promoting meaningful academic growth, confidence, and long-term success.

However, tutoring services do not guarantee specific grades, standardized test scores, school admissions, scholarships, or other academic outcomes, as student success depends upon numerous factors beyond the tutor's control.

Confidentiality & Privacy

Student and family information is treated with professionalism and confidentiality.

Information collected is used solely for educational planning, scheduling, billing, and communication purposes and will not be disclosed except when required by law or with appropriate authorization.

Intellectual Property

All curriculum, lesson plans, instructional methods, worksheets, assessments, study guides, presentations, digital resources, graphics, logos, branding, website content, and educational materials created or provided by Xavier Ellsworth Tutoring Services remain the exclusive intellectual property of Xavier Ellsworth Tutoring Services.

These materials are licensed solely for the enrolled student's personal educational use.

Clients may not reproduce, photograph, photocopy, scan, screenshot, record, upload, publish, distribute, modify, sell, create derivative works, or otherwise use any proprietary materials for classroom instruction, another tutoring business, commercial purposes, or any purpose outside the enrolled student's personal educational use without prior written consent.

Unauthorized use may result in the immediate termination of services and any legal remedies available under applicable law.

Recording Policy

Audio recordings, video recordings, photographs, screenshots, livestreams, or screen recordings of tutoring sessions are prohibited without the prior written consent of Xavier Ellsworth Tutoring Services.

Limitation of Liability

Xavier Ellsworth Tutoring Services shall not be liable for any indirect, incidental, consequential, or special damages arising from participation in tutoring services, including technology interruptions, scheduling conflicts, internet outages, or academic outcomes.

Governing Law

These Terms and Conditions shall be governed by the laws of the jurisdiction in which tutoring services are provided, including New York, the District of Columbia, Maryland, and Virginia.

For virtual tutoring services, the governing law shall be the jurisdiction from which Xavier Ellsworth Tutoring Services primarily provides instruction unless otherwise agreed upon in writing.

Dispute Resolution

The parties agree to make a good-faith effort to resolve any dispute through informal discussion before pursuing binding arbitration.

Nothing within these Terms shall prevent Xavier Ellsworth Tutoring Services from seeking immediate injunctive or equitable relief to protect its intellectual property, confidential information, or proprietary educational materials.

General Provisions

If any provision of these Terms and Conditions is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Failure to enforce any provision shall not constitute a waiver of that provision or any other rights.

These Terms and Conditions constitute the complete agreement between the client and Xavier Ellsworth Tutoring Services and may be updated periodically. Continued participation in tutoring services constitutes acceptance of any revised Terms.
